  1. ORDERS

These general conditions of sale (hereinafter the “General Conditions of Sale”) form an integral part of the purchase order and the subsequent online sales contract stipulated between the buyer (hereinafter referred to as the “Customer”) and the Seller. The Customer is therefore required to carefully read these General Conditions of Sale before submitting his/her purchase order. Submitting the purchase order implies full knowledge and acceptance of the General Conditions of Sale as well as of what is indicated in the order form.

The age of majority and the legal capacity to act are necessary to be able to validly place a purchase order. Both are presumed to exist if the Customer decides to complete the purchase order.

  1. CONCLUSION OF THE CONTRACT

In order to proceed with the purchase of one or more products on the website www.francescaroasenda.com it is necessary to correctly fill out the order form in all its parts and send it following the electronic procedure.

The purchase order can be sent only if the Customer confirms, by means of a specific command:

  1. a) to have read and accepted these General Conditions of Sale;
  2. b) to have been informed and to have accepted that sending the purchase order itself will imply the obligation to pay the price of the selected products and the related shipping costs made through payment via the protected “Paypal” or “Cartasi” system

In the event that incorrect or incomplete data is entered, an error message will appear to notify the Customer of the need to correct or integrate the data. The Seller may not process purchase orders that are incorrect and/or incomplete.

By sending the purchase order, the Customer accepts in any case the delivery conditions indicated on the website www.francescaroasenda.com . The Customer will be the only, sole and direct responsible for the communication of incorrect, or incomplete, or inaccurate, or untrue data, relating to him or relating to third parties who have or have not given them the authorization to use in whole or in part such data, also in relation to a correct or incorrect use of the same or of part of these.

  1. SUBJECT OF THE CONTRACT

The contract may have as its object the sale of jewelry (bracelets, earrings, necklaces, rings, cufflinks, etc.) and other products or categories of products included in the catalog. The main characteristics of the products are indicated within each product sheet.

The images accompanying the product description are for information purposes only and may not be perfectly representative of its characteristics but may differ slightly, for example, in color and size (as in the case of natural stones, which may vary slightly in color intensity).   1. PRODUCT PRICE AND ADDITIONAL COSTS

Product prices are indicated on the website www.francescaroasenda.com . and are inclusive of VAT. Prices do not include shipping costs.

Prices, any discounts and technical characteristics of the items may vary over time (e.g. due to changes in our suppliers' price lists, currency exchange rates, regulatory changes). The price, shipping costs and technical characteristics will be definitively indicated to the Customer before sending the purchase order and may no longer be modified by the seller after sending the order.

Shipping costs are the responsibility of the Customer and are calculated based on the destination. The costs do not include any duties, taxes and fees, possibly due by virtue of the regulations in force in the individual foreign countries of destination, with respect to which it will be the Customer's responsibility to acquire all appropriate information before sending the purchase order, if necessary by contacting the local customs office of reference and arranging for the relative payment.

  1. SHIPPING and DELIVERY METHODS

The Products ordered will be delivered to the address indicated by the Customer in the purchase order, via courier or any postal package.

The products ordered, if already available at the time of the order, are shipped within 7 working days from receipt of the purchase order. Products not available at the time of the order and customized products are shipped within 20 working days from the time of the order. Any variations with respect to the shipping times above will always be specified before the Customer confirms the order.

Shipments are made with DHL courier. You can track your shipment by calling DHL Customer Service 199.199.345 or by accessing the page www.dhl.it and entering the waybill number communicated by the seller via email at the time of shipment. The cost of shipping includes DHL's Online Tracking service (via an email from DHL to the customer containing the link for Online Tracking and all the shipment data). In this way, you can immediately verify the correctness of the data and communicate any errors or changes.

It is recommended that you provide a valid address and contact name to give the courier the opportunity to find the recipient on the expected delivery day. It is not possible to change the delivery address after the order has been sent. It is essential that someone is always present at the address provided to collect the package as the courier may pass by at any time of the day between 8:00 and 18:00 from Monday to Friday (except public holidays). If the delivery address given to us when ordering is incorrect or different from the one expected, or if it is not possible to maintain a presence on site in order to receive the package, we kindly ask you to contact DHL Customer Service on 199.199.345 to make the necessary arrangements in order to arrange and facilitate delivery.

We remind you that after the third unsuccessful delivery attempt, the goods will be put into storage for a maximum of three working days within which you can go to the relevant branch to collect the package in person, without any extra cost. After three days, the goods will be returned to the seller and the customer can choose between (i) a new shipment, upon advance payment of a new shipping fee, or (ii) a refund of the products, excluding shipping costs.

Any complaints due to the courier's actions must be forwarded to the courier himself.

The indicative delivery times applied by DHL for the goods, starting from the moment of shipment, are the following:

for deliveries in ITALY: 1-3 days

for deliveries in EUROPE: 3-5 days

The Seller reports these timeframes as indicative only and declines any responsibility regarding compliance with the same by DHL.

The Customer is aware that cross-border deliveries may be subject to opening and inspection of the products by the customs authorities and that it is therefore his responsibility to obtain all necessary information in this regard, if necessary by contacting the local customs office of reference.

  1. PRODUCT CHECK UPON DELIVERY

It is the Customer's responsibility, upon delivery of the products, to verify that the package is intact, that it is complete with all contents and that it is not damaged.

In case of damage, missing items, anomalies, disputes or other problems, it is necessary to note such circumstances on the transport document or invoice and have them countersigned by the person in charge of delivering the products. It is also necessary to indicate which and how many items have problems. Also take photographs in order to allow the Seller to activate all the necessary insurance procedures against the carrier.

Immediately inform the Seller of the incident at the email address info@francescaroasenda.com within 7 (seven) days of receiving the Products.

  1. LIABILITY AND LIMITS OF LIABILITY

At the moment in which the Customer, or a third party designated by him and other than the carrier, physically takes possession of the products, the risk of loss or damage to the products is transferred to the Customer, where the loss or damage occurs for reasons not attributable to the Seller.

The Seller is not in any case responsible for any poor service, delays, omissions in deliveries attributable to cases of force majeure or unforeseeable circumstances. It is understood that, except in cases of willful misconduct or gross negligence, the Seller is only liable for direct and foreseeable damages at the time of conclusion of the sales contract, and is not responsible for any losses suffered, lost profits or any other damages that are not an immediate and direct consequence of the breach or that were not foreseeable at the time of conclusion of the sales contract.

With regard to any damage caused by defective products, the provisions of the Consumer Code and subsequent amendments and additions shall apply.

The Seller is not responsible for any unlawful use by third parties of the website www.francescaroasenda.com and its contents.

9.. RIGHT OF WITHDRAWAL AND METHODS FOR ITS EXERCISE

Our return policy allows you to reconsider your purchase and return the purchased item within 14 days of the date of delivery. The right of withdrawal is excluded in the event that the purchased products have been personalized or have been made to measure at the express request of the Customer when placing the order. If you return the item, you will be entitled to a refund of the price paid for the purchase of the product in question (excluding shipping costs incurred at the time of purchase), provided that the product is complete with all its parts and is not damaged.

To exercise the right of withdrawal, the Customer must inform the Seller of his decision explicitly and in writing via an email sent to info@francescaroasenda.com subject “Return” within the above-mentioned term of 14 days. The Customer will receive a confirmation of the withdrawal via email, which he must keep.

In addition to applying the protections provided by law regarding the right of withdrawal of Customers, the Seller, at its own expense, provides a free system for the collection of returned products. The cost of the return will therefore be borne by the Seller, provided that the shipping methods indicated in the email confirming the withdrawal are respected; otherwise, any additional costs will be borne entirely by the Customer. Once the return has been approved, we will organize the collection of the product at the address indicated by the Customer. We will refund you using the same payment method you selected at the time of purchase within 14 days of the return of the Product, notifying you of the refund. The Product must be shipped from the same country in which it was delivered and without any damage to the product and packaging.

In the event of partial deterioration of the Product, the Customer will only be liable for the decrease in value of the Product resulting from its use or handling other than that necessary to establish the nature, characteristics and functioning of the Product itself.

  1. CUSTOMER SUPPORT AND WARRANTY

The Seller guarantees customer assistance before and after the sale. In the event of defects of conformity found at the time of delivery of the goods, the Seller undertakes to replace or repair the goods, at the Customer's choice. In the event that one of the remedies (replacement or repair) proves impossible or excessively onerous for the Seller, the latter reserves the right to offer the Customer an alternative remedy; the Seller's right to offer alternative remedies to replacement or repair remains unchanged.

Slight differences between the representation of the products in the product sheet and the products themselves (e.g. shades of colour, slight variations in size) do not constitute defects of conformity.

The Seller reserves the right to modify on the website www.francescaroasenda.com, even without prior notice, the technical information relating to the Products (e.g. dimensions, characteristics, colours, shapes, weight, composition) and the relative price, as well as to propose payment methods other than those indicated. The Seller also reserves the right to change, adapt, integrate, modify these General Conditions of Sale also in relation to any regulatory changes. In any case, the new General Conditions of Sale will be effective from the date of publication on the website www.francescaroasenda.com.

  1. APPLICABLE LAW

These General Conditions and the contracts stipulated through the website www.francescaroasenda.com are governed by Italian law.

  1. COMPETENT COURT IN CASE OF DISPUTE

In the event of disputes relating to purchase contracts stipulated through the website www.francescaroasenda.com, the court of the place of residence or domicile of the Customer will have jurisdiction, if such place of residence is in Italy and the Customer is a natural person who acts on the website www.francescaroasenda.com for purposes other than any entrepreneurial, commercial, artisanal or professional activity carried out.

In any other case, the court of Milan shall have exclusive jurisdiction to decide on any dispute that may arise with reference to purchase contracts stipulated through the website www.francescaroasenda.com, pursuant to art. 28 cpc
